Terms of Use

These Terms of Use (the "Terms") are a binding contract between you and Wisp AI, Inc. ("Audio Tasks," "we," "us," and "our"). Your use of the Audio Tasks websites, products, applications, recording tools, contributor workflows, and related services (collectively, the "Services") in any way means that you agree to all of these Terms, and these Terms will remain in effect while you use the Services. These Terms include the provisions in this document as well as those in our Privacy Policy and the Copyright Complaints section of these Terms. Your use of or participation in certain Services, projects, recording sessions, contributor programs, or payment workflows may also be subject to additional policies, rules, instructions, project requirements, or conditions ("Additional Terms"), which are incorporated into these Terms by reference. By using or participating in any such Services, you agree to comply with those Additional Terms.

Please read these Terms carefully. By accessing or using the Services, creating an account, applying for a project, participating in a recording session, or submitting content, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Services.

ARBITRATION NOTICE AND CLASS ACTION WAIVER: EXCEPT FOR CERTAIN TYPES OF DISPUTES DESCRIBED IN THE ARBITRATION AGREEMENT SECTION BELOW, YOU AGREE THAT DISPUTES BETWEEN YOU AND US WILL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

1. Changes to Terms

We may update these Terms from time to time as the Services change. If we make material changes, we may notify you through the Services, by email, or by another reasonable method. If you continue to use the Services after the updated Terms become effective, you agree to the updated Terms. Except as described in this section, changes must be in writing and signed by us to be effective.

2. Privacy

Our Privacy Policy explains how we collect, use, and disclose information about you. By using the Services, you agree that we may process information as described in the Privacy Policy.

3. Eligibility and Accounts

You must be at least 18 years old and legally able to enter into a binding contract to use the Services, unless we expressly permit otherwise in writing. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.

You may need to create an account and provide information such as your name, email, eligibility details, equipment information, payout information, and other profile details. You agree to provide accurate, complete, and updated information. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

4. The Services

Audio Tasks helps contributors find paid conversation, recording, and related data projects. Depending on the project, contributors may browse open work, complete onboarding, match with another contributor, join an in-browser recording room, record audio and video, upload files, and track review and payment status.

We may change, suspend, discontinue, restrict, or add to any part of the Services at any time. We may also remove content, restrict account access, or impose limits if we believe it is necessary to protect the Services, users, partners, or legal compliance.

5. Recording Consent and Contributor Responsibilities

If you participate in a recording project, you understand and agree that your microphone, camera, voice, likeness, environment, session metadata, technical diagnostics, and submitted materials may be captured, stored, reviewed, used, and disclosed as described in these Terms, the Privacy Policy, and the applicable project instructions.

You are responsible for ensuring that you have all rights, permissions, and consents needed for anything you submit or record. You may not record third parties, include third-party content, or disclose another person's personal information unless you have all required permissions and the project allows it. You should choose a private recording environment and avoid sharing sensitive information unless the project expressly requires it.

6. User Submissions

"User Submissions" means anything you provide through the Services, including profile information, onboarding responses, text, audio, video, recordings, uploads, messages, feedback, and technical notes. You are solely responsible for your User Submissions.

You represent and warrant that your User Submissions are accurate, lawful, and do not violate these Terms or any third-party rights. You must not submit content that is unlawful, infringing, misleading, exploitative, hateful, abusive, or otherwise inappropriate.

7. License to User Submissions

You retain any rights you have in your User Submissions. By submitting User Submissions through the Services, you grant Audio Tasks a worldwide, non-exclusive, transferable, sublicensable, royalty-free, fully paid license to host, store, copy, process, transmit, display, perform, reproduce, modify, create derivative works from, analyze, review, package, deliver, and otherwise use your User Submissions in connection with operating, providing, securing, improving, promoting, and commercializing the Services and applicable projects.

This license includes the right to use User Submissions for project delivery, quality assurance, dataset preparation, AI training, fine-tuning, model evaluation, benchmarking, research, product development, resale, licensing, sublicensing, and compliance, subject to the Privacy Policy and any specific written project terms. You understand that submitted recordings may continue to be used after your account ends, unless applicable law or written project terms require otherwise.

8. Our Content and Intellectual Property

The Services, including software, designs, logos, text, graphics, workflows, project materials, and other content made available by us, are owned by Audio Tasks or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for their intended purpose.

You may not copy, modify, distribute, sell, lease, reverse engineer, scrape, or exploit the Services or our content except as expressly allowed by these Terms or by written permission from us.

9. Acceptable Use

You agree that you will not use the Services to:

  • violate any law, regulation, contract, or third-party right;
  • submit false, misleading, incomplete, or outdated account, onboarding, tax, or payment information;
  • record anyone without all legally required consents;
  • share sensitive personal information during a recording unless the project specifically requires it;
  • upload content that is unlawful, harmful, abusive, hateful, defamatory, obscene, exploitative, or discriminatory;
  • infringe or misappropriate intellectual property, privacy, publicity, or other rights;
  • interfere with, disrupt, overload, scrape, crawl, reverse engineer, or compromise the Services;
  • share your account, impersonate another person, or misrepresent your identity or eligibility;
  • use the Services to create spam, malware, fraudulent activity, or unauthorized commercial activity;
  • attempt to bypass project rules, quality controls, payment controls, matching systems, or security features.

A violation of this section may result in removal of content, nonpayment for affected work, suspension, termination, or other action we consider appropriate.

10. Payments and Contributor Compensation

Some contributors may be eligible to receive compensation for approved project submissions. Payment terms may vary by project and may be shown in project listings, onboarding screens, written project instructions, or other communications.

  • Project listings may describe estimated rates, requirements, review criteria, and payment eligibility.
  • You are only eligible for payment for work that is submitted on time, complies with project instructions, passes review, and is approved by Audio Tasks or the applicable project administrator.
  • We may reject, withhold, reverse, or adjust payment for incomplete, fraudulent, duplicate, low-quality, non-consenting, technically invalid, or policy-violating submissions.
  • Payment timing may depend on review, customer approval, payment processor rules, tax or compliance checks, and account status.
  • You are responsible for all taxes, reporting, and obligations arising from payments you receive, unless applicable law requires otherwise.

We use Stripe and may use other third-party payment processors to send or receive payments. Your use of Stripe or another payment processor may be subject to that processor's terms, policies, identity verification, and compliance requirements. We are not responsible for payment processor errors, delays, or outages, but we may try to help resolve them.

11. Communications

You agree that we may send you service-related communications, including account, project, recording, review, security, legal, and payment messages. If you opt in to marketing or SMS messages, you may opt out as described in those messages. Message and data rates may apply.

If you provide your phone number and consent to receive SMS or text messages, we may send automated or manual text messages about project opportunities, matching, recording sessions, account activity, submissions, payments, and other service updates. Message frequency varies. You may opt out by following the instructions in the message, such as replying STOP where supported.

12. Third-Party Services

The Services may integrate with or link to third-party services, such as authentication, hosting, storage, analytics, payment, communications, video, or conferencing providers. We do not control and are not responsible for third-party services. Your use of third-party services may be governed by their own terms and policies.

13. Copyright Complaints

If you believe content available through the Services infringes your copyright, you may send a notice to us that includes: your physical or electronic signature; identification of the copyrighted work; identification of the allegedly infringing material and its location; your contact information; a statement that you have a good-faith belief the use is not authorized; and a statement under penalty of perjury that the information is accurate and that you are authorized to act for the copyright owner.

Send notices to support@audiotasks.ai. We may remove or disable access to allegedly infringing content and may terminate repeat infringers where appropriate.

14. Termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services at any time if we believe you violated these Terms, created risk or potential legal exposure, provided inaccurate information, submitted fraudulent or low-quality work, or used the Services in a way that may harm us, users, partners, or the Services.

Termination may result in loss of access to your account and certain content. Sections that by their nature should survive termination will survive, including sections on User Submissions, licenses, payments, intellectual property, disclaimers, limitations of liability, indemnity, arbitration, and miscellaneous terms.

15. Contributor Relationship

You acknowledge and agree that you are not an employee, agent, partner, franchisee, or joint venturer of Audio Tasks, and you do not have authority of any kind to bind Audio Tasks in any respect. You are responsible for determining how to satisfy any tax, insurance, licensing, and legal obligations that apply to you, except where applicable law requires otherwise.

16. Disclaimers

THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUDIO TASKS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not guarantee that projects will be available, that you will be selected or matched, that any submission will be approved, that any estimated payment rate will apply to your work, that the Services will be uninterrupted or error-free, or that recordings will meet every customer or technical requirement.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUDIO TASKS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, SERVICE PROVIDERS, LICENSORS, AND PARTNERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNTS PAID OR PAYABLE TO YOU BY AUDIO TASKS FOR APPROVED WORK IN THE 12 MONTHS BEFORE THE CLAIM AROSE. Some jurisdictions do not allow certain limitations, so some limitations may not apply to you.

18. Indemnity

You agree to indemnify, defend, and hold harmless Audio Tasks and its affiliates, officers, directors, employees, contractors, agents, service providers, licensors, and partners from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising from or relating to your use of the Services, your User Submissions, your violation of these Terms, your violation of law, or your violation of any third-party rights.

19. Arbitration Agreement and Class Action Waiver

Please read this section carefully. You and Audio Tasks agree to first try to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services through good-faith informal negotiations. If the dispute is not resolved, it will be finally resolved by binding individual arbitration administered by JAMS under its applicable rules, unless an exception below applies.

The arbitration will be conducted in English by one neutral arbitrator. The seat and venue of arbitration will be Delaware, unless the parties agree otherwise or the rules require a different location. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

Either party may bring qualifying claims in small claims court. Either party may also seek injunctive or equitable relief in court to prevent actual or threatened infringement, misappropriation, or violation of intellectual property or confidentiality rights.

YOU AND AUDIO TASKS WAIVE ANY RIGHT TO A JURY TRIAL. YOU AND AUDIO TASKS ALSO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, REPRESENTATIVE, CONSOLIDATED, OR PRIVATE ATTORNEY GENERAL ACTION.

You may opt out of this arbitration agreement by sending written notice to support@audiotasks.ai within 30 days after you first accept these Terms. Your notice must include your name, the email address associated with your account, and a clear statement that you want to opt out of arbitration.

20. Governing Law and Venue

These Terms are governed by the Federal Arbitration Act, applicable federal law, and the laws of the State of Delaware, without regard to conflict-of-law rules. Subject to the arbitration agreement, the state and federal courts located in Delaware will have exclusive jurisdiction over disputes that may be brought in court.

21. Miscellaneous

You may not assign these Terms or your account without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or by operation of law. If any provision of these Terms is found unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. These Terms, together with the Privacy Policy and any Additional Terms, are the entire agreement between you and us regarding the Services.
